This End User License Agreement ("Agreement") is a legal agreement between you and DBPA Consulting ("Company", "we", "us") governing your use of the Vyra mobile application ("App").
By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control, solely for your authorised business purposes.
2. Eligibility and Access
The App is available only to authorised users who have been provisioned by an organisation with a valid license agreement with DBPA Consulting. You must:
- Be at least 18 years of age
- Be an employee, contractor, or authorised representative of a licensed organisation
- Have valid login credentials provided by your organisation
Unauthorised access or use of the App is strictly prohibited.
3. Restrictions
You agree not to:
- Copy, modify, or distribute the App
- Reverse engineer, decompile, or disassemble the App
- Rent, lease, lend, sell, or sublicense the App
- Use the App for any unlawful purpose
- Attempt to gain unauthorised access to the App or its systems
- Remove or alter any proprietary notices or labels
- Use the App in any manner that could damage or impair its operation
- Share your login credentials with unauthorised persons
4. Intellectual Property
The App, including all content, features, and functionality, is owned by DBPA Consulting and is protected by Australian and international copyright, trademark, and other intellectual property laws. This Agreement does not grant you any rights to our trademarks or branding.
5. Data and Privacy
Your use of the App is also governed by our Privacy Policy. Data entered into the App is owned by your organisation and subject to your organisation's data policies. Upon termination of your access, your organisation retains all data you have submitted.
6. Third-Party Services
The App may integrate with third-party services. Your use of such services is subject to their respective terms and conditions. We are not responsible for third-party services or content.
7. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall DBPA Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the App, regardless of the theory of liability.
9. Indemnification
You agree to indemnify and hold harmless DBPA Consulting and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the App or violation of this Agreement.
10. Termination
Your license to use the App terminates automatically if you breach this Agreement. Your organisation or DBPA Consulting may also terminate your access at any time. Upon termination, you must cease all use of the App and delete it from your devices.
11. Changes to This Agreement
We may update this Agreement from time to time. Continued use of the App after changes constitutes acceptance of the updated terms. Material changes will be communicated through the App or your organisation.
12. Governing Law
This Agreement is governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.
13. Apple-Specific Terms
This Agreement is between you and DBPA Consulting only, not with Apple Inc. Apple has no obligation to provide maintenance or support for the App. Apple is not responsible for any product warranties or claims. Apple is a third-party beneficiary of this Agreement and may enforce it against you.
